Terms of Service

1. Eligibility and account registration

1.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

1.2 Account Registration. You may need to create an account to access certain features. You must provide accurate information and keep your account credentials secure. You are responsible for all activity conducted under your account.

2. Description of services

UniCheck.ai provides AI-powered tools that generate technical interview questions, conduct and record technical interviews, assess candidate submissions, and produce scoring and reporting for review by the Customer. Additional tools may be released and made available under an applicable order form or invoice.

3. Payment terms

3.1 General. Prices for Services are listed on the Website or in an applicable order form. Prices may be updated from time to time.

3.2 Invoice-based payment. Services are provided on an invoice basis. We agree the scope and price with you, issue an invoice, and activate your access once the invoice is paid. There is no subscription, no stored balance, and no automatic renewal.

3.3 Payment method. Invoices are payable by bank transfer to the account stated on the invoice, unless otherwise agreed in writing. If online payment is introduced in the future, it will be processed via Stripe, our third-party payment processor, and availability will depend on Stripe's country support.

3.4 Tax. You are responsible for any applicable taxes and duties, other than taxes on our income.

3.5 No recurring charges. We do not charge any payment method automatically and do not retain payment credentials for recurring billing. Access continues for the period or volume stated on the invoice. To continue beyond that, a new invoice is agreed and issued.

3.6 Failed Payments. If a payment fails, we may retry, suspend your account, or cancel your subscription.

3.7 Refund Policy. All purchases are final. No refunds will be issued except where required by applicable law. Applicable law does not provide a refund right for dissatisfaction with the results, output, or reports generated by the Services.

4. Acceptable use policy

You agree NOT to:

• Use the Services for illegal, harmful, or abusive activities.
• Reverse engineer, decompile, or extract source code.
• Interfere with system performance or security.
• Upload infringing, unlawful, or privacy-violating content.
• Use the Services to create unfair, discriminatory, or unlawful recruitment practices.

5. User content

5.1 Ownership. You retain ownership of any content you upload or provide ("User Content").

5.2 License to Us. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to process, store, and use it as necessary to operate, improve, and provide the Services. This is a contractual permission in respect of intellectual property only. It does not transfer ownership of your content to us, and it is not a governmental, regulatory, or professional licence.

6. Intellectual property

6.1 All rights in the Website, software, AI models, algorithms, graphics, trademarks, and other proprietary materials belong to the Company.

6.2 You may not use our intellectual property without our written permission.

7. Privacy and data protection

7.1 Privacy Policy. Your use of the Services is governed by our Privacy Policy.

7.2 Payment Security. If online payment is introduced, payment information will be handled exclusively by Stripe. We do not store full credit card details.

7.3 Data Storage. Details of where data is stored and processed, and of the service providers we use, are set out in the Privacy Policy and are not repeated here.

8. Third-party services

The Services may integrate with third-party systems (e.g., ATS, CRMs). Use of third-party services is subject to their own terms. We are not responsible for third-party systems.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We make no guarantee that assessments, interview questions, or AI-generated content will produce desired results or outcomes.

10. Limitation of liability

To the maximum extent permitted by law:

• Our total liability for claims arising from the Services will not exceed the amount you paid during the 12 months preceding the incident.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its personnel from any claims, damages, or expenses arising out of your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access if you violate these Terms, if an invoice remains unpaid, or if required by law. Upon termination, your right to use the Services ends immediately.

Since billing is invoice-based, no cancellation step is required; you may simply decline to agree a further invoice.

13. Governing law and disputes

These Terms are governed by the laws of Delaware, USA. Any disputes will be resolved in the courts of Delaware, unless otherwise required by consumer protection law.

14. Changes to terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
